ASC 952

ASC 952 – Franchisors
Governs initial franchise fees, continuing royalty fees, and area/master franchise arrangements under ASC 606.
1
Conceptual Framework Linkage
Franchise fees as licensed access to an ongoing brand system
A franchise arrangement grants the FRANCHISEE the right to use the franchisor's brand, systems, and ongoing support – an arrangement genuinely different from a simple one-time sale. ASC 952 provides industry-specific guidance ELABORATING on how ASC 606's general revenue framework applies to INITIAL franchise fees and ONGOING royalty streams, rather than establishing a separate franchise-specific revenue model.
2
Scope
Franchisors granting franchise rights to franchisees
ASC 952 applies to entities that FRANCHISE their business format/brand to independent franchisees in exchange for initial fees and ongoing royalties.
3
Initial Franchise Fees – ASC 606 Treatment
Generally recognised over time, as symbolic intellectual property
The FRANCHISE LICENSE itself is generally analysed as SYMBOLIC intellectual property under ASC 606's IP licensing framework (see the ASC 928 poster for the functional/symbolic distinction) – since the franchise brand's VALUE is tied to the FRANCHISOR's CONTINUED activities (ongoing marketing, system development, brand maintenance) – meaning the INITIAL franchise fee ALLOCATED to the license is generally recognised OVER TIME, over the FRANCHISE TERM, rather than upfront when the franchise agreement is signed or the franchisee opens for business.
4
The Private Company Practical Expedient (ASU 2021-02)
A structural simplification for private company franchisors
ASU 2021-02 provided PRIVATE COMPANY franchisors with a PRACTICAL EXPEDIENT: certain PRE-OPENING services (e.g. site selection assistance, training, initial inspections) that would otherwise require a SEPARATE performance obligation analysis MAY instead be treated as PART OF the overall franchise license performance obligation – SIMPLIFYING the allocation exercise for smaller, private franchisors who might otherwise face significant cost and complexity in separately identifying and valuing each individual pre-opening service.
5
Continuing (Royalty) Franchise Fees – the Sales-Based Royalty Exception
Recognised as the franchisee's underlying sales occur
CONTINUING franchise fees (ROYALTIES, typically a percentage of the franchisee's ongoing SALES) are recognised consistent with ASC 606's specific SALES-BASED (or usage-based) ROYALTY EXCEPTION for IP licenses – revenue is recognised as (and to the extent) the FRANCHISEE's underlying sales OCCUR, rather than estimated and recognised upfront as variable consideration would otherwise require, avoiding the need to forecast future franchisee sales.
6
Area/Master Franchise Arrangements
A layer of sub-franchising, with its own performance obligation analysis
AREA or MASTER franchise arrangements – where a franchisor grants a master franchisee the right to develop and SUB-FRANCHISE within a specific territory – require their OWN performance obligation analysis, since the master franchisee's rights (development rights, sub-franchising rights, brand license) may represent DISTINCT performance obligations recognised on DIFFERENT patterns/timings from a standard single-unit franchise agreement.
7
Worked Example – Initial Franchise Fee Allocation and Recognition
Deferred recognition over the franchise term
Example: A 10-year single-unit franchise agreement
A franchisor signs a 10-year franchise agreement, collecting a $50,000 upfront initial franchise fee, allocated entirely to the franchise license (symbolic IP) performance obligation.
The $50,000 is DEFERRED as a contract liability at signing, and recognised as revenue RATABLY over the 10-year franchise TERM – approximately $5,000 per year – rather than recognised entirely upfront when the agreement is signed or the store opens.
8
Worked Example – Continuing Royalty Recognition
Recognised as franchisee sales occur
Example: A 5% royalty on franchisee sales
A franchisee generates $800,000 of sales during the month, subject to a 5% continuing royalty fee payable to the franchisor.
The franchisor recognises royalty revenue of $800,000 × 5% = $40,000 for the month – recognised AS the underlying franchisee sales OCCUR, consistent with the sales-based royalty exception, WITHOUT needing to estimate or forecast the franchisee's future sales in advance.

Disclosure Requirements
What ASC 952 requires (in addition to general ASC 606 disclosures)
Nature of initial and continuing franchise fee arrangementsDeferred revenue related to unsatisfied franchise license performance obligations

Critical Judgments & Estimates
Where judgement matters most
SIGNIFICANT JUDGEMENTS
Whether pre-opening services represent distinct performance obligations or are combined with the license (private company expedient)Identifying distinct performance obligations within master/area franchise arrangements
SIGNIFICANT ESTIMATES
Expected franchise term used to recognise deferred initial franchise fee revenue

Private company pre-opening services expedientAvailable (ASU 2021-02), private companies onlyNo equivalent named practical expedient, though general judgement about combining closely related promises may achieve similar outcomes
Since IFRS 15 and ASC 606 share the SAME joint revenue recognition project origin, franchise revenue recognition is one of the more GENUINELY converged industry Topics – the main US GAAP-specific wrinkle is the narrow private-company practical expedient.
