ASBJ 05
Accounting Standard for Presentation of Net Assets in the Balance Sheet
Accounting Standard for Presentation of Net Assets in the Balance Sheet is part of the Japan GAAP framework.
1
Conceptual Framework Linkage
A foundational restructuring, prompted by the 2005 Companies Act reform
ASBJ Statement No. 5 established the "NET ASSETS" (純資産) section that now defines the ENTIRE right-hand side of the J-GAAP Balance Sheet (貸借対照表) – REPLACING the OLDER, simpler "Shareholders' Equity" heading. This restructuring was PROMPTED by Japan's 2005 COMPANIES ACT (会社法) reform, which introduced newer instruments and concepts – notably SUBSCRIPTION RIGHTS TO SHARES (新株予約権, broadly comparable to stock options/warrants) – that did NOT fit comfortably within a heading labelled purely "Shareholders' Equity," since they represent claims that are NOT yet, and may never become, ordinary shareholders' equity.
2
Scope
All companies preparing a Balance Sheet under J-GAAP
This Statement applies to ALL companies preparing a Balance Sheet (貸借対照表) – both INDIVIDUAL (non-consolidated) and CONSOLIDATED – establishing the MANDATORY structure for the entire net-assets side of the statement.
3
Why "Net Assets" – Broader Than Shareholders' Equity
A residual category encompassing more than just owners' claims
"NET ASSETS" (純資産) – total assets LESS total liabilities – is a GENUINELY BROADER concept than "Shareholders' Equity" alone. It ENCOMPASSES not only the ORDINARY shareholders' residual claim, but ALSO items that don't fit NEATLY into that category: valuation adjustments NOT yet flowing through profit or loss, SUBSCRIPTION RIGHTS held by parties who may or may not EVER become shareholders, and (in CONSOLIDATED statements) the interests of NON-CONTROLLING shareholders in SUBSIDIARIES. Grouping ALL of these together under "Net Assets" – while still CLEARLY separating them into DISTINCT sub-sections – gives readers a genuinely TRANSPARENT picture of the full residual claim structure.
4
The Four-Part Net Assets Structure
A mandatory, four-part presentation on the face of the Balance Sheet
PartComponentContains
IShareholders' Equity (株主資本)Common Stock, Capital Surplus, Retained Earnings, Treasury Shares
IIValuation and Translation Adjustments (評価・換算差額等)Unrealised gains/losses on available-for-sale securities, deferred hedge gains/losses, foreign currency translation adjustments
IIISubscription Rights to Shares (新株予約権)Stock acquisition rights issued, not yet exercised or expired
IVNon-controlling Interests (非支配株主持分)The portion of subsidiaries' net assets attributable to outside shareholders (consolidated statements only)
5
Part I – Shareholders' Equity (株主資本)
The core owners' equity, broken into four named components
Shareholders' Equity comprises: COMMON STOCK (資本金); CAPITAL SURPLUS (資本剰余金, split into Capital Reserve and Other Capital Surplus – see the companion ASBJ Statement No. 1 poster); RETAINED EARNINGS (利益剰余金, split into Earned Reserve and Other Retained Earnings); and TREASURY SHARES (自己株式), presented as a DEDUCTION at the foot of this subsection.
6
Part II – Valuation and Translation Adjustments (評価・換算差額等)
Unrealised items sitting outside Shareholders' Equity proper
This SEPARATE component captures unrealised gains/losses that have NOT yet been recognised through profit or loss – most notably UNREALISED gains/losses on AVAILABLE-FOR-SALE securities, DEFERRED gains/losses on hedging instruments, and FOREIGN CURRENCY translation adjustments – broadly ANALOGOUS in SUBSTANCE to accumulated Other Comprehensive Income (OCI) balances under IFRS, though presented in a DISTINCT, separately-labelled Net Assets component rather than under a general "OCI" heading.
7
Part III – Subscription Rights to Shares (新株予約権)
Neither a liability nor ordinary equity – its own distinct category
SUBSCRIPTION RIGHTS TO SHARES (新株予約権) – rights entitling the holder to ACQUIRE shares of the company, commonly used for STOCK-based compensation – are presented in their OWN, SEPARATE Net Assets component, DISTINCT from Shareholders' Equity. This reflects that, until EXERCISED, these rights do NOT represent an ordinary shareholder's claim, yet they are ALSO not a genuine LIABILITY (since the company has no obligation to TRANSFER cash or other assets) – a genuinely DISTINCTIVE presentational category without a precise IFRS Balance Sheet parallel of the SAME separate-line prominence.
8
Part IV – Non-controlling Interests (非支配株主持分)
Outside shareholders' stake in consolidated subsidiaries
In CONSOLIDATED financial statements, NON-CONTROLLING INTERESTS represents the portion of a SUBSIDIARY's net assets attributable to shareholders OTHER than the parent – presented as the FINAL component of Net Assets, broadly consistent with how IFRS ALSO presents non-controlling interests as a SEPARATE component WITHIN total equity.
9
Worked Example – Building the Net Assets Section
Assembling all four components into a total
Example: A consolidated Balance Sheet's Net Assets section
A consolidated group reports: Shareholders' Equity of ¥5,000,000,000; Valuation and Translation Adjustments of ¥150,000,000 (net unrealised gains); Subscription Rights to Shares of ¥30,000,000; and Non-controlling Interests of ¥420,000,000.
TOTAL Net Assets = ¥5,000,000,000 + ¥150,000,000 + ¥30,000,000 + ¥420,000,000 = ¥5,600,000,000 – presented as FOUR separately labelled components on the face of the Balance Sheet, giving readers a CLEAR breakdown of exactly WHAT makes up the group's total residual claim, rather than a single undifferentiated "equity" figure.

Disclosure Requirements
What ASBJ Statement No. 5 requires
Presentation of the four-part Net Assets structure on the face of the Balance SheetSub-classification of Shareholders' Equity into Common Stock, Capital Surplus, Retained Earnings, and Treasury Shares
11
Critical Judgments
Where judgement matters most
SIGNIFICANT JUDGEMENTS
Correctly classifying an item between Shareholders' Equity, Valuation and Translation Adjustments, Subscription Rights, or Non-controlling Interests
SIGNIFICANT ESTIMATES
Generally minimal – this Statement is a presentational/structural standard rather than a measurement standard
12
Relationship to IAS/IFRS
Comparison – J-GAAP's Net Assets vs IFRS's Total Equity
FeatureJ-GAAP (ASBJ Statement No. 5)IFRS
Overall concept"Net Assets" (純資産) – total assets less liabilities"Total Equity" – a broadly similar residual concept
Accumulated unrealised itemsSeparate "Valuation and Translation Adjustments" componentAccumulated Other Comprehensive Income, generally within equity but not always as prominently separated on the face of the statement
Instruments like stock options/warrantsSeparate "Subscription Rights to Shares" component, distinct from Shareholders' EquityGenerally included WITHIN equity (e.g. a share-based payment reserve), without as distinct a standalone Balance Sheet category
Non-controlling interestsSeparate component within Net AssetsSeparate component within total equity – converged
The OVERALL philosophy – a residual, multi-component presentation – is broadly CONVERGED with IFRS, but J-GAAP's Net Assets structure is more EXPLICITLY, PRESCRIPTIVELY subdivided into named components ON THE FACE of the Balance Sheet than IFRS typically requires.
