HGB §§275–278

Income Statement

Gewinn- und Verlustrechnung

The HGB provisions governing the income statement (GuV), including the two permitted formats (total-cost and net-sales), minimum disclosure requirements, extraordinary items, and the relationship to the balance sheet.

1

Conceptual Framework Linkage

THE GuV's MIRROR TO §266: exactly as §266 legislated the Bilanz line by line, §275 legislates the income statement line by line – offering a genuine choice between two fully prescribed formats that must nonetheless arrive at the identical bottom line.
The GuV's own prescribed format – the mirror image of §266
Just as §266 dictates EXACTLY where every Bilanz item must appear, §275 dictates the SAME for the Gewinn- und Verlustrechnung – but with a genuinely important twist: unlike the Bilanz, WHERE ONLY ONE format exists, the GuV offers a real CHOICE between two entirely different, fully prescribed presentations, both required to arrive at the identical net income figure.
HOW §§275–278 MAP TO GERMAN ACCOUNTING PRINCIPLES
Bewertungsstetigkeit, applied to format choice – once a company elects Gesamtkosten- or Umsatzkostenverfahren, §265(1)'s consistency principle requires it to be RETAINED from year to year Klarer Einblick – the choice exists PRECISELY because different industries and business models are better illuminated by one presentation over the other
What §§275–278 require, at a glance
§Core requirement
275A genuine choice of two, fully prescribed GuV formats
276Small/medium corporations may combine certain items into a single figure
277Specific rules for individual line items – revenue, inventory changes, disclosure of unusual items
278Repealed – no current content
2

Scope

Every Kapitalgesellschaft, subject to size-dependent relief
§§275–278 bind every Kapitalgesellschaft bound by the preceding Titel – with §276's combination relief specifically scaled to small and medium-sized corporations, per the §267 thresholds confirmed in the previous poster.
3

§275(1) – a Genuine Choice of Two Fully Prescribed Formats

Gesamtkostenverfahren or Umsatzkostenverfahren – the company elects, then must remain consistent
§275(1) permits an enterprise to prepare its GuV using EITHER the Gesamtkostenverfahren (total cost method, organising expenses by their NATURE) or the Umsatzkostenverfahren (cost of sales method, organising expenses by their FUNCTION) – both are FULLY, individually prescribed formats in their own right (Sections 4–5), and BOTH must arrive at the SAME final net income figure, DESPITE presenting entirely different intervening detail.
4

§275(2) – the Gesamtkostenverfahren (Total Cost / Nature-of-Expense Method)

Costs organised by WHAT they are – materials, personnel, depreciation
№Gesamtkostenverfahren structure (abbreviated)
1.Umsatzerlöse (revenue)
2.–3.+/− Bestandsveränderungen; + andere aktivierte Eigenleistungen
4.sonstige betriebliche Erträge (other operating income)
5.− Materialaufwand (raw materials/supplies + purchased services)
6.− Personalaufwand (wages/salaries + social security/pension costs)
7.− Abschreibungen (depreciation and amortisation)
8.− sonstige betriebliche Aufwendungen (other operating expenses)
9.–19.Financial result items, taxes → Jahresüberschuss/-fehlbetrag
5

§275(3) – the Umsatzkostenverfahren (Cost-of-Sales / Function-of-Expense Method)

Costs organised by WHAT THEY WERE FOR – production, selling, administration
№Umsatzkostenverfahren structure (abbreviated)
1.Umsatzerlöse (revenue)
2.− Herstellungskosten der zur Erzielung der Umsatzerlöse erbrachten Leistungen (cost of sales)
3.= Bruttoergebnis vom Umsatz (gross profit)
4.− Vertriebskosten (selling costs)
5.− allgemeine Verwaltungskosten (general administrative costs)
6.+ sonstige betriebliche Erträge; − sonstige betriebliche Aufwendungen
7.–17.Financial result items, taxes → Jahresüberschuss/-fehlbetrag
Broadly similar in economic content to IFRS's own function-of-expense presentation option under IAS 1 – but, again, HGB prescribes the EXACT wording and sequence of every line, where IAS 1 leaves the specific line items to preparer judgement.
6

Worked Example – the SAME Company, Built Both Ways

Identical bottom line, radically different intervening presentation
Example 1: A manufacturer's income statement under both methods
A manufacturer reports: Umsatzerlöse €10,000,000; Materialaufwand €3,500,000; Personalaufwand €2,800,000; Abschreibungen €600,000; sonstige betriebliche Aufwendungen (net of other income) €1,100,000. Reorganising the SAME underlying costs by function instead: cost of sales €4,900,000; selling costs €1,200,000; administrative costs €900,000; other net items €1,000,000.
GESAMTKOSTENVERFAHREN: €10,000,000 − €3,500,000 − €2,800,000 − €600,000 − €1,100,000 = €2,000,000 operating result. UMSATZKOSTENVERFAHREN: €10,000,000 − €4,900,000 = €5,100,000 gross profit, − €1,200,000 − €900,000 − €1,000,000 = €2,000,000 operating result – the IDENTICAL figure, reached through two COMPLETELY different intervening structures, each fully compliant with §275 in its own right.
7

Why the Choice Exists – Different Information, Same Bottom Line

Different questions, both legitimately worth answering
The Gesamtkostenverfahren answers "what KINDS of resources did the enterprise consume this year" (materials, labour, depreciation) – genuinely useful for capital-intensive or manufacturing-heavy enterprises where the NATURE of cost matters to readers. The Umsatzkostenverfahren instead answers "how much did it cost to generate THIS revenue, and how much was spent on selling and administering the business separately" – often preferred by service-oriented or multi-segment enterprises, and by companies wishing to align more closely with international (IFRS-style) function-of-expense presentation norms. §275(1)'s choice exists precisely because NEITHER question is objectively "more correct" – the more informative answer genuinely depends on the specific enterprise's own business model.
8

§276 – Size-Dependent Relief: Combining Items From "Rohergebnis" Down

Small and medium corporations may present a combined gross figure
§276 permits SMALL and MEDIUM-sized corporations (per the §267 thresholds confirmed in the earlier poster) to combine several of the granular items at the top of the GuV into a single, combined "Rohergebnis" (gross result) figure – sparing smaller enterprises the full, item-by-item granularity §275 would otherwise demand, while still requiring the SAME level of detail from large corporations.
9

Worked Example – Applying the §276 Combination Relief

A single combined line, rather than several granular ones
Example 2: A small GmbH's simplified GuV opening
A small GmbH (per §267's thresholds) would otherwise need to present Umsatzerlöse, Bestandsveränderungen, and sonstige betriebliche Erträge as three fully separate lines under the standard Gesamtkostenverfahren format.
Electing the §276 relief, the company instead presents a SINGLE combined "Rohergebnis" figure at the top of its GuV, aggregating what would otherwise be several separate opening lines – a large corporation reporting IDENTICAL underlying figures would NOT have this option, and must show the full granular breakdown.
10

§277(1) – Defining Umsatzerlöse (Revenue)

Ordinary-activity sales, net of deductions and VAT
§277(1) defines Umsatzerlöse as amounts arising from the sale, rental, or leasing of products and services TYPICAL of the enterprise's ordinary business activities – presented NET of sales deductions (discounts, returns) and net of value-added tax, broadly consistent in substance with how revenue is defined internationally, though without the elaborate five-step performance-obligation architecture IFRS 15 constructs around the concept.
11

Worked Example – Testing What Counts as Umsatzerlöse

Ordinary activity, not merely any incoming cash
Example 3: Distinguishing ordinary sales from an incidental gain
A furniture manufacturer sells finished furniture to customers (its ordinary business), and separately sells a piece of surplus factory land it no longer needs, realising a one-off gain.
The FURNITURE sales qualify as Umsatzerlöse – they represent the enterprise's ordinary, typical business activity. The LAND sale gain does NOT qualify as Umsatzerlöse – it is instead presented within sonstige betriebliche Erträge (other operating income), reflecting its INCIDENTAL, non-recurring character relative to the company's core furniture business.
12

§277(2) – Bestandsveränderungen (Changes in Inventory)

Matching production activity to the correct period, under the Gesamtkostenverfahren
§277(2) provides measurement guidance for Bestandsveränderungen – the changes in finished and unfinished goods inventory that the Gesamtkostenverfahren specifically requires as an ADJUSTING item, since that format starts from TOTAL production activity (not merely sold units) and needs this adjustment to correctly reflect the period's economic activity, REGARDLESS of how much of that production was actually sold during the year.
13

THE ABOLISHED "AUSSERORDENTLICH" CATEGORY – a Genuine Convergence With IFRS and US GAAP

A separate "extraordinary items" line no longer exists under either framework
Prior to the 2009 BilMoG reform, HGB's prescribed GuV format included a SEPARATE line for "außerordentliche Erträge und Aufwendungen" (extraordinary income and expenses) – items considered outside the enterprise's ordinary activities. BilMoG ELIMINATED this separate category from the standard format entirely; such items are now simply folded into sonstige betriebliche Erträge/Aufwendungen (other operating income/expenses), with a SPECIFIC Anhang disclosure instead required for items of "außergewöhnlicher Größenordnung oder Bedeutung" (unusual size or significance) – their nature and amount must be separately explained in the notes, even though they no longer receive their own dedicated GuV line.
This is a genuine, notable point of CONVERGENCE across all three major frameworks covered in this poster library: IAS 1 abolished its own "extraordinary items" concept in a 2003 revision, and US GAAP eliminated the equivalent concept via ASU 2015-01 – HGB's own BilMoG-driven abolition in 2009 sits comfortably alongside both, reflecting a broader, cross-framework consensus that a separate "extraordinary" category had become more prone to inconsistent application than genuinely useful.
14

Worked Example – Disclosing an Item of Unusual Size or Significance

Folded into ordinary lines on the face, explained separately in the notes
Example 4: A one-off factory fire loss
A manufacturing company suffers a factory fire, resulting in a €1,800,000 loss on destroyed inventory and equipment – a genuinely unusual, non-recurring event relative to the company's ordinary €40,000,000 GuV activity.
The €1,800,000 loss is included WITHIN sonstige betriebliche Aufwendungen on the face of the GuV – NOT shown as a separate "extraordinary" line, since that category no longer exists. However, GIVEN its unusual size and significance, the company separately discloses the NATURE and AMOUNT of this loss in the Anhang, ensuring readers can still identify and evaluate it distinctly, despite its absence from a dedicated GuV line.
15

§277(5) – Disclosing Interest Owed to Affiliated Companies

A specific related-party transparency requirement within the GuV rules
§277(5) requires specific disclosure of interest and similar expenses OWED to affiliated companies (verbundene Unternehmen – the §271(2) definition established in the earlier poster) – ensuring readers can identify the portion of a company's financing costs flowing to related parties within a group structure, distinct from genuinely independent third-party financing.
16

§278 – Repealed

No current content
§278 is currently marked "(weggefallen)" – repealed, with no substantive content remaining, marking the end of this Titel (as confirmed by the earlier full-list research underpinning this poster series – §§279–283 are likewise entirely repealed, forming the boundary before the next Titel on the Anhang begins).
17

Critical Judgments & Practical Difficulties

Where judgement matters most
SIGNIFICANT JUDGEMENTS
Whether an item genuinely qualifies as Umsatzerlöse (ordinary activity) or belongs instead within other operating income Whether an item is of sufficiently "unusual size or significance" to warrant separate Anhang disclosure following the abolition of the extraordinary items category
PRACTICAL DIFFICULTIES
Maintaining the underlying cost data needed to prepare BOTH formats where a group requires local statutory reporting under one method but group reporting under the other Applying §265(1)'s consistency principle to the initial Gesamtkosten-/Umsatzkostenverfahren election over time
18

Relationship to IFRS (IAS 1)

Comparison – HGB §§275–278 vs IAS 1
FeatureHGB (§275)IAS 1
Nature vs function presentation choiceGenuine choice – both FULLY prescribed formatsGenuine choice – CONVERGED in spirit
Exact line items within each formatLEGALLY prescribed, line by lineMinimum line items only – considerable preparer discretion beyond that
Extraordinary items categoryABOLISHED (BilMoG 2009)ABOLISHED (2003 revision) – CONVERGED
This Titel shows HGB's relationship with IFRS at its MOST convergent – the underlying choice architecture (nature vs function) and the abolition of extraordinary items both land in genuinely the SAME place, with HGB's greater prescriptiveness over exact line-item wording being the main remaining point of difference.
