FRS 101 – Reduced Disclosure Framework | Extended Reference
FRS 101 provides a reduced disclosure framework for qualifying entities within an IFRS group, allowing them to use full IFRS recognition and measurement with disclosure exemptions.
1
Conceptual Framework Linkage
Full IFRS measurement, lighter disclosure – a genuine relief mechanism, not a separate GAAP
FRS 101 exists to solve a SPECIFIC, practical problem: within a group that prepares CONSOLIDATED accounts under IFRS, requiring EVERY individual subsidiary and the parent's own INDIVIDUAL accounts to carry the FULL IFRS disclosure burden is often DUPLICATIVE and disproportionate – since the group's own consolidated IFRS accounts already provide the primary, comprehensive disclosure. FRS 101 allows QUALIFYING entities to use IFRS RECOGNITION and MEASUREMENT (so the NUMBERS are identical to what full IFRS would produce) while EXEMPTING them from many IFRS DISCLOSURE requirements.
2
Scope – Qualifying Entities
Members of an IFRS group, preparing their own individual accounts
FRS 101 applies to the INDIVIDUAL (not consolidated) financial statements of a "QUALIFYING ENTITY" – broadly, a member of a GROUP where the ULTIMATE (or an intermediate) parent prepares PUBLICLY AVAILABLE consolidated financial statements which are INTENDED to give a true and fair view, using IFRS as adopted for use in the UK.
3
The Qualifying Conditions
Group membership, plus a restriction on certain financial institutions
To qualify, an entity must be a MEMBER of a group where a parent prepares PUBLICLY AVAILABLE consolidated financial statements under IFRS (as adopted for use in the UK) that give a true and fair view, and the entity itself is INCLUDED in that consolidation. Certain entities are EXCLUDED from qualifying regardless of group membership – notably entities with securities traded on a REGULATED market (which must use full IFRS themselves) and certain FINANCIAL INSTITUTIONS required to prepare publicly available financial statements, given the heightened public interest in their FULL disclosure.
4
The Notice and No-Objection Requirement
Shareholders must be informed, and must not object
A qualifying entity must give WRITTEN NOTICE to its SHAREHOLDERS of its intention to apply the FRS 101 reduced disclosure framework, and shareholders holding a SPECIFIED minimum proportion of shares (or voting rights) must NOT have OBJECTED in writing within a set period – a genuine SHAREHOLDER PROTECTION mechanism, ensuring the reduced disclosure relief isn't imposed without at least an opportunity for affected owners to object.
5
What Is Actually "Reduced" – the Disclosure Exemptions
Specific, named exemptions from otherwise-mandatory IFRS disclosures
AreaExemption
Cash flow statementExemption from presenting a statement of cash flows (subtopic to certain conditions)
IFRS 7 Financial InstrumentsExemption from many of the detailed financial instrument risk disclosures
IFRS 2 Share-based PaymentExemption from certain group share-based payment disclosures where the parent's own consolidated accounts already disclose this
IAS 24 Related Party DisclosuresExemption from disclosing transactions with other WHOLLY-OWNED members of the same group
IFRS 8 Segment ReportingFull exemption, since segment information is a group-consolidated-level concept
6
What Is NOT Reduced – Recognition and Measurement Stay Fully IFRS
The underlying numbers are unaffected
Critically, FRS 101 does NOT change RECOGNITION or MEASUREMENT in ANY way – an entity applying FRS 101 measures its assets, liabilities, income, and expenses EXACTLY as it would under FULL IFRS. This is a genuinely important distinction from FRS 102 (which is based on the DIFFERENT, simplified IFRS for SMEs measurement model) – FRS 101 is purely a DISCLOSURE relief mechanism layered on top of otherwise UNCHANGED IFRS numbers.
7
Statement Presentation Under the Companies Act
IFRS measurement, Companies Act statutory formats
Despite using IFRS recognition and measurement, an entity applying FRS 101 must STILL comply with the UK/Irish Companies Act's STATUTORY FORMAT requirements for its primary statements – typically presented as a BALANCE SHEET and PROFIT AND LOSS ACCOUNT (rather than the IFRS-style "Statement of Financial Position" and "Statement of Comprehensive Income" titles, though either naming convention is generally understood to describe the same statements) – reflecting that FRS 101 operates WITHIN, not outside, UK/Irish company law's own presentational requirements.
8
Worked Example – Applying the Qualifying Conditions
Confirming eligibility before electing FRS 101
Example: A UK trading subsidiary within an IFRS group
A UK manufacturing subsidiary is wholly owned by a German parent listed on a regulated EU market, which prepares publicly available consolidated IFRS accounts including this subsidiary. The subsidiary is not a bank or insurer, and has issued the required shareholder notice with no objection received.
The subsidiary MEETS all FRS 101 qualifying conditions – it may prepare its INDIVIDUAL UK statutory accounts using FRS 101, applying IFRS recognition/measurement (matching the numbers used in the parent's consolidation) while benefiting from REDUCED disclosure requirements in its own standalone accounts.
9
Worked Example – a Disclosure Exemption in Practice
Omitting the cash flow statement
Example: Relying on the cash flow exemption
The same qualifying subsidiary would, under full IFRS (IAS 7), be required to present a statement of cash flows.
Applying FRS 101's cash flow exemption (subject to the specified conditions being met, including that the parent's own PUBLICLY AVAILABLE consolidated financial statements include a consolidated cash flow statement), the subsidiary may OMIT its own individual cash flow statement – while its Balance Sheet and Profit and Loss Account continue to be measured EXACTLY as full IFRS would require.
10
Disclosure Requirements (What Remains)
What FRS 101 still requires
A statement that the entity has taken advantage of the FRS 101 disclosure exemptionsIdentification of the parent whose consolidated financial statements include the entity, and where those accounts can be obtainedAll disclosures NOT specifically exempted continue to apply in full
11
Critical Judgments
Where judgement matters most
SIGNIFICANT JUDGEMENTS
Whether the entity genuinely meets all qualifying conditions, including the group membership and public-availability testsWhether specific exemption conditions (e.g. the cash flow exemption's conditions) are satisfied
SIGNIFICANT ESTIMATES
None distinct from those already required under full IFRS recognition/measurement

FRS 101 is genuinely UNIQUE among the "new UK GAAP" suite in that it is NOT itself a different measurement basis – it is entirely a DISCLOSURE relief layered on unchanged IFRS numbers, distinguishing it sharply from FRS 102's DIFFERENT (IFRS-for-SMEs-based) recognition and measurement model.
