ASPE Section 1602
Active
Non-controlling Interests
Non-controlling Interests is part of the Accounting Standards for Private Enterprises (ASPE).
1
Conceptual Framework Linkage
The minority shareholders' stake within a consolidated group
ASPE Section 1602 governs the RECOGNITION, MEASUREMENT, and PRESENTATION of NON-CONTROLLING interests (NCI) – the PORTION of a SUBSIDIARY'S net ASSETS and net INCOME NOT attributable, DIRECTLY or INDIRECTLY, to the PARENT – WITHIN consolidated financial STATEMENTS prepared UNDER Section 1601. NCI is PRESENTED within EQUITY, CONSISTENT with the "ENTITY theory" approach IFRS 10 ALSO applies internationally (Section 3).
2
Scope – Applies Only Where Consolidation Is Elected
A companion to Section 1601's consolidation mechanics
This Section applies ONLY where an ENTERPRISE has ELECTED, UNDER Section 1591, TO consolidate ITS subsidiaries – an ENTERPRISE electing THE cost or EQUITY method has NO non-CONTROLLING interest to PRESENT, SINCE it does NOT combine THE subsidiary'S own assets AND liabilities line-BY-line at ALL.
3
Presentation Within Equity
Separate from the parent's own equity, but still within equity
NON-CONTROLLING interests are PRESENTED WITHIN the CONSOLIDATED Balance SHEET'S owners' EQUITY section, SEPARATELY from the PARENT'S own EQUITY – GENUINELY consistent WITH the MODERN, entity-THEORY approach IFRS 10 ALSO applies internationally (AND which we SAW earlier under ASBE No. 33 – see the COMPANION Chinese GAAP poster), RATHER than an OLDER "PARENT company" approach that WOULD present NCI as a SEPARATE, non-equity item.
4
Two Components of Non-Controlling Interests in Net Assets
Initial measurement plus subsequent share of changes
ComponentDescription
Initial NCI measurementTHE amount OF non-CONTROLLING interests AT the DATE of the ORIGINAL combination, CALCULATED in ACCORDANCE with SECTION 1582
Subsequent share of changesTHE non-CONTROLLING interests' SHARE of CHANGES in EQUITY since THE date of THE combination
5
Attributing Net Income to Both Parent and NCI
A proportionate split each period
CONSOLIDATED net INCOME for the PERIOD is ATTRIBUTED between the PARENT'S own OWNERS and NON-CONTROLLING interests – REFLECTING EACH party'S RESPECTIVE ownership STAKE in the SUBSIDIARY'S own PROFIT or LOSS for the PERIOD.
6
Net Income Attributed to NCI Even in a Deficit Position
Losses allocated in full, regardless of resulting deficit
NET income (or LOSS) is ATTRIBUTED to the PARENT and NON-CONTROLLING interests EVEN if it RESULTS in the NON-CONTROLLING interests HAVING a DEFICIT balance – a GENUINELY notable POINT (and ONE that historically DIFFERED under OLDER, "PARENT company" approaches to NCI, WHICH sometimes CAPPED losses ATTRIBUTED to a MINORITY interest at ZERO). ASPE'S current APPROACH follows the MODERN, entity-THEORY treatment, CONSISTENT with IFRS 10 internationally.
7
Changes in Ownership Interest Not Resulting in Loss of Control
Treated as equity transactions
WHERE a PARENT'S ownership INTEREST in a SUBSIDIARY changes WITHOUT a LOSS of control (e.g. PURCHASING an ADDITIONAL 10% stake FROM a NON-controlling shareholder), the TRANSACTION is ACCOUNTED for as an EQUITY transaction – ADJUSTING the CARRYING amounts OF the PARENT'S and NON-CONTROLLING interests' RESPECTIVE equity, WITHOUT recognizing a GAIN or LOSS in NET income.
8
Reciprocal Shareholdings Within the Group
A narrow, technical allocation rule
WHERE a DIFFERENCE arises FROM the ELIMINATION of RECIPROCAL shareholdings AMONG companies WITHIN the CONSOLIDATED group, it IS allocated TO the PARENT and NON-CONTROLLING interests ON the BASIS of THEIR proportionate SHAREHOLDINGS – a NARROW, technical RULE addressing a RELATIVELY uncommon but GENUINELY complex group-STRUCTURE scenario.
9
Worked Example – Measuring NCI at the Combination Date
The starting point for tracking NCI going forward
Example: An 75%-owned subsidiary acquisition
A parent acquires 75% of a subsidiary. At the acquisition date, the subsidiary's identifiable net assets have a fair value of $4,000,000, and the parent elects to measure NCI at its proportionate share of net identifiable assets.
NCI at the COMBINATION date = $4,000,000 × 25% = $1,000,000, presented WITHIN consolidated EQUITY, separately FROM the PARENT'S own OWNERSHIP interest.
10
Worked Example – Attributing a Loss to NCI, Creating a Deficit
A negative NCI balance, fully consistent with ASPE's approach
Example: A loss-making subsidiary
Continuing the prior example, the subsidiary incurs a $4,800,000 net loss during its first year under the parent's ownership, with the NCI's opening balance at $1,000,000.
The NCI'S SHARE of the LOSS = $4,800,000 × 25% = $1,200,000, REDUCING the NCI BALANCE from $1,000,000 to NEGATIVE $200,000 – a DEFICIT that IS fully RECOGNIZED and PRESENTED, CONSISTENT with ASPE'S entity-THEORY approach, RATHER than CAPPING the LOSS attribution AT zero.

Disclosure Requirements
What Section 1602 requires
Non-controlling interests in net assets, presented within equity, separately from the parent's own equityNon-controlling interests in net income for the periodNature and effect of any equity transactions changing the parent's ownership interest without a loss of control

Critical Judgments & Estimates
Where judgment matters most
SIGNIFICANT JUDGMENTS
Allocating differences arising from reciprocal shareholding eliminations between the parent and NCI
SIGNIFICANT ESTIMATES
Fair value of NCI at the acquisition date, where measured at fair value rather than proportionate net assets

Quick-Reference Glossary
Non-controlling interest (NCI)
The portion of a subsidiary's net assets and net income not attributable, directly or indirectly, to the parent, presented within consolidated equity.
Equity transaction
A change in a parent's ownership interest in a subsidiary that does not result in a loss of control, accounted for as an adjustment within equity rather than through net income.
