HGB §§297–299

Content and Form of Consolidated Accounts

Inhalt und Form des Konzernabschlusses

The HGB provisions governing the content, components, and format of the consolidated accounts (Konzernabschluss), including the single-enterprise fiction and uniform measurement requirements.

1

Conceptual Framework Linkage

THE CONCEPTUAL HEART OF CONSOLIDATION: §297(3)'s "single enterprise" fiction is the philosophical foundation every consolidation mechanic in the following posters (capital consolidation, debt elimination, intragroup profit elimination) exists to implement. It also happens to be one of the strongest points of genuine conceptual convergence with IFRS 10 anywhere in this entire poster series.
The philosophical foundation beneath every consolidation mechanic to come
Having established WHO must consolidate (§290) and WHICH subsidiaries are included (§§294–296), this Titel answers WHAT the resulting Konzernabschluss must actually look like, and WHY its mechanics take the specific shape they do. §297(3)'s "single enterprise" fiction is the conceptual key: every later consolidation technique – capital consolidation, debt elimination, intragroup profit elimination – exists SOLELY to make the group's combined accounts look as though the parent and its subsidiaries were genuinely one economic entity, DESPITE remaining separate legal persons.
HOW §§297–299 MAP TO GERMAN ACCOUNTING PRINCIPLES
Wirtschaftliche Betrachtungsweise, at its most complete expression – the ENTIRE Konzernabschluss is built on looking past legal entity boundaries to economic reality Klarer Einblick, once again – §297's own true-and-fair language directly parallels §243(2) and §264(2), now applied to the group as a whole
What §§297–299 require, at a glance
§Core requirement
297Components required; the single-enterprise fiction; the group-level true-and-fair remedy
298Individual-accounts rules apply correspondingly; limited format flexibility
299Reference date rules, including the Zwischenabschluss requirement for misaligned year-ends
2

Scope

Every parent preparing a Konzernabschluss under §290
§§297–299 govern the content, form, and reference date of every Konzernabschluss a parent is required (or chooses) to prepare under §290, having survived the §§291–293 and §§294–296 scope tests established in the two preceding posters.
3

§297(1) – the Components of the Konzernabschluss

Three mandatory components, with two more for capital-market-oriented parents
ComponentWho must prepare it
Konzernbilanz (consolidated balance sheet)Every parent preparing a Konzernabschluss
Konzern-Gewinn- und VerlustrechnungEvery parent preparing a Konzernabschluss
Konzernanhang (consolidated notes)Every parent preparing a Konzernabschluss
Konzern-Kapitalflussrechnung, Konzern-EigenkapitalspiegelCapital-market-oriented parents specifically – directly paralleling §264(1a)'s individual-entity equivalent established earlier in this series
Segment reporting may additionally be included, though its precise mandatory/optional status for different parent categories is worth confirming against current text if it matters for a specific filing.

§297(3) – the "Single Enterprise" Fiction

As if the entire group were one single enterprise
§297(3) requires the Konzernabschluss to present the net assets, financial position, and results of operations of the group AS IF the included companies formed a SINGLE ENTERPRISE ("als ob es sich bei den einbezogenen Unternehmen um ein einziges Unternehmen handelte") – this single sentence is arguably the most conceptually important provision in this entire Titel. Every subsequent consolidation mechanic – capital consolidation (eliminating the parent's investment against the subsidiary's equity), debt consolidation (eliminating intragroup receivables/payables), and intragroup profit elimination – exists purely to give effect to this ONE underlying fiction.
This is a genuinely strong point of conceptual convergence with IFRS: IFRS 10's own consolidation objective is built on essentially the SAME "single economic entity" concept – both frameworks look past the LEGAL reality of separate corporate persons to present the GROUP's combined economic substance as a unified whole.
5

Worked Example – Seeing the Single-Entity Fiction in Action

Intragroup sales simply disappear, exactly as they would within one company
Example 1: An intragroup sale that never happened, from the group's perspective
A parent manufactures a component and sells it to its own subsidiary for €500,000, who then incorporates it into a finished product sold to an external customer for €900,000. Each entity's OWN individual accounts show its own respective revenue.
In the Konzernabschluss, the €500,000 intragroup sale is ELIMINATED entirely – from the GROUP's perspective, as a single enterprise, the component was simply MOVED internally from one department to another, generating NO external revenue at that stage. Only the FINAL €900,000 sale to the genuinely external customer appears as group revenue – exactly how a single, undivided company's own internal transfer between departments would never appear as revenue on its own individual accounts either.
6

The Group-Level True-and-Fair Remedy

The same disclosure-only mechanism, now at group level
§297 requires that where special circumstances mean the Konzernabschluss does NOT convey a picture corresponding to the actual circumstances of the group's net assets, financial position, and results of operations, ADDITIONAL disclosures must be made in the Konzernanhang – directly PARALLELING §264(2)'s individual-entity true-and-fair remedy established earlier in this series, now simply operating at the GROUP level rather than the single-entity level. The remedy remains DISCLOSURE, never departure from a specific consolidation rule.
7

§298(1) – Borrowing the Entire Individual-Accounts Framework by Reference

The Konzernabschluss does not reinvent measurement rules from scratch
§298(1) provides that the general provisions governing INDIVIDUAL Kapitalgesellschaft accounts – everything this poster series has covered on recognition (§§246–251), measurement (§§252–256a), the Bilanz and GuV formats (§§266–278), and much else besides – apply CORRESPONDINGLY (entsprechend) to the Konzernabschluss, UNLESS the specific consolidation provisions provide otherwise. This is a genuinely important STRUCTURAL choice: rather than legislating an entirely separate measurement and recognition framework for group accounts, HGB simply BORROWS the individual-accounts framework wholesale, and the consolidation-specific Titel only ADD what is genuinely different about group reporting (elimination entries, uniform group-wide measurement, goodwill arising on capital consolidation).
8

Worked Example – Testing a Measurement Election at Group Level

The same LIFO election, now applying group-wide
Example 2: Applying the §256 LIFO election consistently across the group
A parent elects LIFO (per §256, established in the earlier §§252–256a poster) for a specific inventory category in its own individual accounts. Its subsidiary holds the SAME category of inventory.
Because §298(1) applies §256's LIFO rule CORRESPONDINGLY to the Konzernabschluss, and §252(1) no.6's Bewertungsstetigkeit (consistency) principle carries through as well, the parent must apply a UNIFORM measurement method across the ENTIRE group for consolidation purposes – if the subsidiary's own individual accounts used FIFO instead, its figures must be RESTATED to LIFO (or the group must otherwise reconcile the difference) before consolidation, since the group accounts cannot present the same economic item measured two different ways depending on which legal entity happens to hold it.
9

§298(2) – Format Flexibility for Group-Specific Circumstances

A group-level parallel to §265(4)'s individual-entity flexibility
§298(2) permits certain items in the Konzernbilanz and Konzern-GuV to be COMBINED or ADAPTED differently than the individual-entity format would otherwise require, WHERE the group's own specific circumstances justify it – WITH the deviation disclosed in the Konzernanhang – directly paralleling the §265(4) individual-entity adaptation flexibility established in the earlier Bilanz poster, now exercised at group level to accommodate genuinely group-specific presentation needs.
10

§299(1) – the Ordinary Reference Date Rule

The parent's own balance sheet date, as the group's reference point
§299(1) establishes that the Konzernabschluss is generally prepared as of the SAME balance sheet date as the parent's own individual annual accounts – the parent's own fiscal year-end becomes the GROUP's reference date for consolidation purposes.
11

§299(2) – the Zwischenabschluss Requirement for a >3-Month Gap

A special interim statement, purely for consolidation purposes
§299(2) requires that WHERE a subsidiary's own balance sheet date differs from the parent's by MORE than three months, that subsidiary must prepare a special interim financial statement (Zwischenabschluss) as of the PARENT's own reference date, SOLELY for consolidation purposes – ensuring genuine comparability across group members, REGARDLESS of each individual entity's own statutory year-end.
12

Worked Example – Preparing a Zwischenabschluss

A genuine gap, requiring genuine extra work
Example 3: A subsidiary with a materially different fiscal year-end
A German parent's fiscal year ends 31 December. A recently-acquired foreign subsidiary has its own statutory fiscal year ending 30 June – a six-month gap, well beyond the three-month threshold.
The subsidiary must prepare a Zwischenabschluss as of 31 December (the PARENT's own reference date) SPECIFICALLY for consolidation purposes – this is IN ADDITION to, not instead of, its own separate 30 June statutory accounts required under its own local law, representing genuine additional preparation effort purely to satisfy the group's consolidation timing needs.
13

§299(3) – the ≤3-Month Gap Exception

A practical relief, provided material events in the gap are still captured
§299(3) permits, WHERE the gap is THREE MONTHS OR LESS, the subsidiary's OWN existing accounts to be used DIRECTLY for consolidation, WITHOUT preparing a separate Zwischenabschluss – PROVIDED any material events occurring in the gap period between the subsidiary's own year-end and the parent's reference date are appropriately taken into account or disclosed, so genuinely significant developments are never simply missed due to the timing mismatch.
14

Worked Example – Using the Subsidiary's Own Accounts With a Material-Event Adjustment

A narrower gap, genuine relief, but still no blind spots permitted
Example 4: A subsidiary with a two-month gap and a significant intervening event
A German parent's fiscal year ends 31 December. A subsidiary's own fiscal year ends 31 October – a two-month gap, within the §299(3) threshold. Between 31 October and 31 December, the subsidiary suffers a significant, uninsured warehouse fire loss.
The parent may use the subsidiary's OWN 31 October accounts directly for consolidation, WITHOUT preparing a separate Zwischenabschluss – but the SIGNIFICANT warehouse fire loss occurring in the two-month gap period must still be appropriately taken into account or disclosed within the Konzernabschluss, ensuring this genuinely material event isn't simply lost in the timing mismatch between the two reference dates.
15

Critical Judgments & Practical Difficulties

Where judgement matters most
SIGNIFICANT JUDGEMENTS
Whether a specific event occurring within a ≤3-month gap period is genuinely "material" enough to require adjustment or disclosure under §299(3) Whether a proposed §298(2) format adaptation is genuinely justified by group-specific circumstances, versus merely a preference
PRACTICAL DIFFICULTIES
Harmonising measurement methods across a large, multi-jurisdictional group under §298(1)'s "corresponding application" requirement, particularly for newly-acquired subsidiaries The genuine administrative burden of preparing a Zwischenabschluss for subsidiaries with a >3-month year-end gap, especially where local statutory accounts alone would otherwise have sufficed
16

Relationship to IFRS (IFRS 10, IFRS 3)

Comparison – HGB §§297–299 vs IFRS
FeatureHGBIFRS
Underlying consolidation philosophySingle enterprise fiction (§297(3))Single economic entity concept (IFRS 10) – CONVERGED
Uniform group-wide measurementRequired via §298(1)'s "corresponding application"Required – IFRS 10 mandates uniform accounting policies across the group – CONVERGED
Reference date gap toleranceExplicit 3-month bright-line threshold (§299)IFRS 10 permits a maximum 3-month gap as well, with adjustment for significant transactions – CONVERGED
This Titel is, alongside §272(1)'s treasury share treatment, one of the STRONGEST points of genuine convergence anywhere in this poster series – the core consolidation philosophy, the uniform-measurement requirement, and even the specific 3-month reference-date threshold all align closely between HGB and IFRS.
