Business Combinations

Business Combinations is part of the Accounting Standards for Private Enterprises (ASPE).

1

Conceptual Framework Linkage

The acquisition method, with a genuinely distinctive cost-relief alternative
ASPE Section 1582 governs the RECOGNITION and MEASUREMENT of BUSINESS combinations – REQUIRING the ACQUISITION method for TRANSACTIONS in WHICH an ACQUIRER obtains CONTROL of ONE or MORE businesses. THE core MECHANICS closely MIRROR IFRS 3 internationally, BUT the SUBSEQUENT treatment of GOODWILL includes a GENUINELY distinctive PRIVATE-enterprise alternative NOT available under UNMODIFIED IFRS (Section 7).
2

Scope – Transactions Where an Acquirer Obtains Control

Applies wherever control transfers from one party to another
This Section applies TO transactions or EVENTS in WHICH an ACQUIRER obtains CONTROL of ONE or MORE businesses – REGARDLESS of WHETHER the RESULTING subsidiary is SUBSEQUENTLY consolidated OR accounted for USING the COST or EQUITY method under SECTION 1591.
3

The Acquisition Method

Fair value measurement of the acquiree's identifiable net assets
THE acquisition METHOD requires IDENTIFYING the ACQUIRER, DETERMINING the ACQUISITION date, and RECOGNIZING the IDENTIFIABLE assets ACQUIRED, liabilities ASSUMED, and ANY non-CONTROLLING interest AT fair VALUE as OF the ACQUISITION date.
4

Identifying the Acquirer and the Acquisition Date

The party obtaining control, and the date control transfers
THE ACQUIRER is the ENTITY that OBTAINS control OF the ACQUIREE – GENERALLY identifiable AS the party TRANSFERRING cash or OTHER assets, OR incurring LIABILITIES, in EXCHANGE for CONTROL. THE ACQUISITION date is the DATE the ACQUIRER OBTAINS control OF the ACQUIREE, TYPICALLY the CLOSING date OF the transaction.
5

Measuring Identifiable Assets, Liabilities, and Non-Controlling Interest

Fair value as of the acquisition date
IDENTIFIABLE assets ACQUIRED and LIABILITIES assumed ARE recognized SEPARATELY from GOODWILL, MEASURED at THEIR acquisition-DATE fair VALUES. ANY non-CONTROLLING interest IN the ACQUIREE is ALSO measured AT fair VALUE as OF the ACQUISITION date.
6

Measuring and Recognizing Goodwill

Consideration transferred plus NCI, less net identifiable assets
GOODWILL is MEASURED as the EXCESS of (a) the CONSIDERATION transferred PLUS the AMOUNT of ANY non-CONTROLLING interest, OVER (b) the FAIR value OF the ACQUIREE'S identifiable NET assets ACQUIRED – CONSISTENT with IFRS 3'S own GOODWILL calculation INTERNATIONALLY.
7

THE DISTINCTIVE ALTERNATIVE – the Private-Enterprise Goodwill Amortization Election

A cost-relief alternative unavailable under unmodified IFRS
RECOGNIZED goodwill IS SUBSEQUENTLY measured UNDER Section 3064 – WHERE, GENUINELY distinctively, an ENTERPRISE MAY elect to AMORTIZE goodwill ON a straight-LINE basis OVER its ESTIMATED useful LIFE (NOT exceeding TEN years WHERE a LIFE cannot BE reliably ESTIMATED), TESTING for IMPAIRMENT only UPON indicators OF impairment, RATHER than MANDATORY ANNUAL impairment TESTING. THIS stands IN genuine CONTRAST to the IMPAIRMENT-only model IFRS 3/IAS 36 REQUIRE, and INTERESTINGLY parallels a SIMILAR "private COMPANY alternative" the FASB'S Private COMPANY Council INTRODUCED for US GAAP – BOTH standard-SETTERS independently CONCLUDING that ANNUAL, mandatory GOODWILL impairment TESTING imposes a GENUINELY disproportionate COST burden on PRIVATE enterprises RELATIVE to its DECISION-usefulness for THEIR typically NARROWER user BASE.
8

Negative Goodwill (Bargain Purchase Gain)

Recognized immediately, after reassessment
WHERE the FAIR value OF the ACQUIREE'S net IDENTIFIABLE assets EXCEEDS the CONSIDERATION transferred (a "BARGAIN purchase"), the ACQUIRER first RE-ASSESSES whether IT has CORRECTLY identified ALL assets ACQUIRED and LIABILITIES assumed, and CORRECTLY measured THEIR fair VALUES – WITH any REMAINING excess RECOGNIZED immediately AS a GAIN in NET income.
9

Acquisition-Related Costs – Expensed as Incurred

Not capitalized into the cost of the combination
COSTS the ACQUIRER incurs IN connection WITH a BUSINESS combination (LEGAL fees, DUE diligence COSTS, advisory FEES) are EXPENSED as INCURRED – EXCEPT costs OF issuing DEBT (per SECTION 3856) or EQUITY securities (per SECTION 3610), WHICH are ACCOUNTED for UNDER their OWN respective SECTIONS.
10

Worked Example – Recognizing Goodwill at Acquisition

The standard goodwill calculation
Example: An arm's-length acquisition
A private company acquires 100% of an unrelated target for $8,500,000 cash. The target's identifiable net assets have a fair value of $6,900,000.
GOODWILL = $8,500,000 − $6,900,000 = $1,600,000, recognized ON the BALANCE Sheet, SUBJECT to Section 3064'S subsequent MEASUREMENT policy (IMPAIRMENT-only, OR the AMORTIZATION alternative, PER the COMPANY'S accounting POLICY election).
11

Worked Example – Amortizing Goodwill Under the Private-Enterprise Alternative

A predictable, straight-line expense over an estimated useful life
Example: Electing straight-line amortization
Continuing the prior example, the company elects to amortize its $1,600,000 goodwill on a straight-line basis over an estimated 10-year useful life.
The company RECOGNIZES annual GOODWILL amortization EXPENSE of $1,600,000 ÷ 10 = $160,000 per year, TESTING for IMPAIRMENT only UPON indicators OF impairment ARISING – RATHER than PERFORMING a MANDATORY annual IMPAIRMENT test.

SIGNIFICANT ESTIMATES

Relationship to IFRS 3

THE acquisition METHOD itself is GENUINELY thoroughly CONVERGED – the GOODWILL amortization ALTERNATIVE is the SINGLE most SIGNIFICANT, distinctly PRIVATE-enterprise-oriented divergence FROM unmodified IFRS.
