HGB §310

Proportional Consolidation

Anteilmäßige Konsolidierung

The HGB provision governing proportional (anteilmäßige) consolidation of jointly managed enterprises as an alternative to full consolidation.

Conceptual Framework Linkage

A CROSS-LIBRARY CALLBACK: this poster series noted, many sessions ago, that ASPE Section 3056 retains proportionate consolidation for joint arrangements – an option IFRS 11 eliminated in 2011 for genuine joint ventures. HGB §310 is a THIRD data point in this same pattern: a major framework still offering, as a genuine election, a consolidation method IFRS itself has largely moved away from.
A genuinely narrow provision, with outsized comparative significance
§310 is a single paragraph – one of the narrowest Titel in this entire poster series. But its SUBSTANCE connects directly to one of the most durable divergence patterns this whole poster library (spanning ASPE, IFRS, and now HGB) has documented: whether jointly-managed enterprises should be brought into the group accounts LINE BY LINE at the parent's own percentage share, or accounted for as a single net investment figure instead.
HOW §310 MAPS TO GERMAN ACCOUNTING PRINCIPLES
Wahlrecht (genuine election) – §310 is NEVER mandatory; the enterprise chooses between this method and the equity method covered in the next Titel Wirtschaftliche Betrachtungsweise – proportionate consolidation reflects the view that a joint venturer's OWN economic share of each underlying asset and liability is meaningfully different information than a single net investment figure would convey
What §310 requires, at a glance
§Core requirement
310(1)A jointly-managed enterprise MAY be included proportionately, per the parent's own capital share
310(2)The full-consolidation toolkit applies correspondingly, with necessary modifications
2

Scope – Defining the Gemeinschaftsunternehmen

Jointly managed with genuinely outside parties
§310 applies where a parent (or an included subsidiary) manages an enterprise TOGETHER WITH one or more OTHER enterprises that do NOT belong to the group – a Gemeinschaftsunternehmen (jointly-managed enterprise), the ordinary economic equivalent of a joint venture. The defining feature is genuine JOINT management with a party genuinely outside the reporting group – a wholly-owned subsidiary, by contrast, would never qualify for this Titel at all, since it belongs entirely within the group.
3

§310(1) – the Election Itself

"Kann" – may, never must
§310(1) uses the permissive "kann" (may) – proportionate consolidation is a genuine ELECTION, never a mandate. Where an enterprise qualifies as a Gemeinschaftsunternehmen, its parent may choose to include it in the Konzernabschluss PROPORTIONATELY, in accordance with the parent's own share in its capital – meaning ONLY the parent's own percentage share of each individual asset, liability, expense, and income item is brought into the group accounts, line by line, RATHER than the full 100%-then-carve-out-NCI approach §300(1) mandates for genuine subsidiaries.
4

Proportionate vs Full Consolidation – the Line-by-Line Mechanic

A structurally different starting point than Vollkonsolidierung
FeatureVollkonsolidierung (§300)Anteilmäßige Konsolidierung (§310)
Percentage of each line item included100%, regardless of ownership stakeONLY the parent's own percentage share
Non-controlling interestsCarved out separately under §307NEVER arises – the "other side" of the joint venture is simply never brought in at all
Applicable toSubsidiaries under §290's control testsONLY genuinely jointly-managed enterprises
5

Worked Example – Proportionate Consolidation of a 50/50 Joint Venture

Exactly half of every line item, nothing more
Example 1: A jointly-managed manufacturing venture
A parent jointly manages a manufacturing enterprise with an unrelated foreign partner, each holding exactly 50% of its capital and jointly directing its operations. The joint venture has €6,000,000 total assets, €2,500,000 total liabilities, and generates €900,000 net income for the year.
Electing proportionate consolidation, the parent brings into ITS OWN Konzernabschluss exactly 50% of EVERY line item: €3,000,000 of assets, €1,250,000 of liabilities, and €450,000 of net income – line by line, asset category by asset category – RATHER than either the full €6,000,000/€2,500,000/€900,000 (which Vollkonsolidierung would require for a genuine subsidiary) or a single net investment figure (which the equity method, covered in the next poster, would instead show).
6

§310(2) – Borrowing the Vollkonsolidierung Toolkit, With Necessary Modifications

The same mechanics as full consolidation, just applied to a fraction
§310(2) requires the full-consolidation provisions established in the previous two posters (§§297–301, 303–309 – capital consolidation, debt elimination, profit elimination, deferred tax, the subsequent treatment of goodwill/negative differences) to apply CORRESPONDINGLY to proportionate consolidation, WITH the necessary modifications (mit den erforderlichen Abweichungen) – meaning the SAME toolkit is reused, just scaled down to the parent's own percentage share throughout, rather than reinventing an entirely separate set of mechanics for this narrower case.
7

Worked Example – Capital Consolidation Applied Proportionately

Goodwill still arises – just on the proportionate share only
Example 2: Goodwill on a proportionately-consolidated joint venture
Continuing Example 1: the parent's 50% investment in the joint venture cost €3,400,000. The joint venture's identifiable net assets, revalued to fair value at the point the joint arrangement began, amounted to €6,000,000 – of which the parent's own 50% share is €3,000,000.
Applying §301's capital consolidation mechanic PROPORTIONATELY per §310(2): Goodwill = €3,400,000 − €3,000,000 = €400,000 – recognised on the SAME mandatory-amortisation basis as any other HGB goodwill (§246(1) sentence 4, §309(1)), but calculated ENTIRELY on the parent's own 50% share, since the OTHER 50% of the joint venture was never brought into the group accounts to begin with.
8

The Election Structure – §310 vs §311 as Genuine Alternatives

The same underlying joint venture, two genuinely different accounting outcomes
A qualifying Gemeinschaftsunternehmen presents a genuine FORK in the road: the parent may elect §310's proportionate consolidation (line-by-line partial inclusion, as illustrated above), OR – if it does not – the SAME interest will generally instead be accounted for as an "assoziiertes Unternehmen" (associated company) under §311, the NEXT Titel in this series, using the equity method – a single net investment line, adjusted for the parent's share of the venture's own profits or losses, rather than any line-by-line inclusion at all. The choice between these two genuinely different presentations belongs to the reporting enterprise.
9

Critical Judgments & Practical Difficulties

Where judgement matters most
SIGNIFICANT JUDGEMENTS
Whether an arrangement genuinely constitutes JOINT management (required for §310) versus sole control (which would instead trigger full §300 consolidation) or mere significant influence (which would point toward §311's equity method instead)
PRACTICAL DIFFICULTIES
Obtaining the same level of detailed, line-by-line financial information from a jointly-managed enterprise as would be available for a wholly-controlled subsidiary, given the joint venture partner's own competing information needs and confidentiality interests
10

Relationship to IFRS (IFRS 11) – and the ASPE Parallel

Comparison – HGB §310 vs IFRS 11 vs ASPE Section 3056
HGB (§310)IFRS 11ASPE (Section 3056)
Proportionate consolidation AVAILABLE as a genuine election for jointly-managed enterprisesELIMINATED for genuine joint ventures (2011) – equity method now MANDATORY; proportionate-style treatment survives only for the narrower "joint operations" categoryRETAINED as a genuine election, exactly as HGB does
This is a genuinely notable three-way comparison spanning this ENTIRE poster library, not just the HGB series: BOTH HGB and ASPE still offer proportionate consolidation as a real choice for joint ventures, while IFRS 11 abolished the equivalent option for the broader "joint venture" category over a decade ago, requiring the equity method instead – reserving proportionate-style treatment only for the narrower, differently-defined "joint operations" concept. A group reporting under HGB or ASPE genuinely has an accounting choice here that an IFRS-only reporter, for a genuine joint venture, simply no longer has.
