Interests in Joint Arrangements

Interests in Joint Arrangements is part of the Accounting Standards for Private Enterprises (ASPE).

1

Conceptual Framework Linkage

Governing the accounting for jointly controlled arrangements, with genuine flexibility
ASPE Section 3056 governs the ACCOUNTING for INTERESTS in ARRANGEMENTS subject TO joint CONTROL – RETAINING an OLDER, THREE-category STRUCTURE and a GENUINE choice OF accounting METHODS FOR jointly CONTROLLED enterprises, RATHER than ADOPTING IFRS 11'S newer, TWO-category structure and MANDATORY equity METHOD (Section 7).
2

Scope – Joint Control

Contractually agreed sharing of control
JOINT control OF an ECONOMIC activity is the CONTRACTUALLY agreed SHARING of the CONTINUING power TO determine ITS strategic OPERATING, investing, AND financing POLICIES – REQUIRING the UNANIMOUS consent OF the parties SHARING control FOR strategic DECISIONS.
3

Three Categories of Joint Arrangement

A structure that predates, and differs from, IFRS 11's two-category split
CategoryDescription
Jointly controlled operationsEACH venturer USES its OWN assets and INCURS its OWN expenses, WITH the ARRANGEMENT lacking a SEPARATE legal STRUCTURE
Jointly controlled assetsVENTURERS jointly CONTROL, and OFTEN jointly OWN, specific ASSETS dedicated TO the joint VENTURE'S purposes
Jointly controlled enterprisesA SEPARATE legal ENTITY (e.g. a CORPORATION or PARTNERSHIP) in WHICH each VENTURER holds an INTEREST
4

Jointly Controlled Operations

Recognizing your own direct share, similar to IFRS 11's joint operations
EACH venturer RECOGNIZES ITS OWN assets, LIABILITIES, and EXPENSES incurred, AND its SHARE of INCOME earned, FROM the JOINTLY controlled OPERATION – a TREATMENT BROADLY analogous TO how a JOINT operation is ACCOUNTED for UNDER IFRS 11.
5

Jointly Controlled Assets

A proportionate share of the jointly held assets
EACH venturer RECOGNIZES ITS SHARE of the JOINTLY controlled ASSETS, ANY liabilities it HAS incurred, ITS share OF liabilities incurred JOINTLY, and ITS share OF income and EXPENSES arising FROM the arrangement.
6

Jointly Controlled Enterprises – THE Genuine Choice

Proportionate consolidation, cost method, or equity method
FOR a JOINTLY controlled ENTERPRISE (a SEPARATE legal ENTITY), a VENTURER elects EITHER PROPORTIONATE consolidation (COMBINING its OWN proportionate SHARE of the ENTERPRISE'S assets, LIABILITIES, income, AND expenses LINE-by-line WITHIN its OWN financial STATEMENTS), the COST method, or the EQUITY method – a GENUINE THREE-way choice, PARALLELING the SAME optionality WE saw under SECTION 1591'S subsidiary ACCOUNTING (see the COMPANION poster).
7

Why ASPE Retains Proportionate Consolidation

A deliberate departure from IFRS 11's 2011 reform
BEFORE 2011, IAS 31 (IFRS'S OWN predecessor STANDARD) permitted PROPORTIONATE consolidation AS an ALTERNATIVE for JOINT ventures. IFRS 11 ELIMINATED this OPTION internationally, REQUIRING the EQUITY method EXCLUSIVELY for JOINT ventures. ASPE, BY contrast, RETAINED the OLDER, more FLEXIBLE approach – CONSISTENT with ITS broader PHILOSOPHY of GIVING private ENTERPRISES genuine METHOD choices FOR group-level RELATIONSHIPS (SUBSIDIARIES, significant-INFLUENCE investments, and NOW jointly controlled ENTERPRISES ALIKE), RATHER than IMPOSING a SINGLE mandatory APPROACH the WAY current IFRS DOES.
8

Worked Example – Proportionate Consolidation of a Jointly Controlled Enterprise

Combining the venturer's own proportionate share, line by line
Example: A 50/50 joint venture entity
Two companies jointly control a separate corporation, each holding 50%. The jointly controlled enterprise has total assets of $6,000,000, total liabilities of $2,400,000, and revenue of $3,200,000 for the year.
EACH venturer, ELECTING proportionate CONSOLIDATION, includes 50% of EACH line ITEM within ITS OWN financial STATEMENTS: ASSETS of $3,000,000, LIABILITIES of $1,200,000, and REVENUE of $1,600,000 – COMBINED line-by-LINE with the VENTURER'S own OTHER assets, LIABILITIES, and REVENUE.
9

Worked Example – the Equity Method for the Same Facts

A single investment line instead of line-by-line combination
Example: Choosing the equity method instead
Continuing the prior example, the joint venture entity's net income for the year is $500,000. One of the venturers instead elects the equity method.
The VENTURER recognizes a SINGLE "INVESTMENT in JOINT venture" LINE, ADJUSTED for ITS 50% share OF net INCOME ($500,000 × 50% = $250,000) – RATHER than COMBINING the ENTERPRISE'S individual ASSETS, LIABILITIES, and REVENUE line-BY-line, as PROPORTIONATE consolidation WOULD require.

Disclosure Requirements

What Section 3056 requires
Nature of the joint arrangement, and the accounting method electedAggregate amount of the venturer's share of assets, liabilities, income, and expenses of jointly controlled arrangementsNature and extent of any contingent liabilities arising from joint arrangements
11

Critical Judgments & Estimates

Where judgment matters most
SIGNIFICANT JUDGMENTS
Whether joint control genuinely existsWhich of the three method alternatives best serves the venturer's users, for a jointly controlled enterprise
SIGNIFICANT ESTIMATES
Generally minimal beyond those inherent in the chosen method's own mechanics

A GENUINE, meaningful STRUCTURAL divergence – ASPE'S retained FLEXIBILITY here MIRRORS the OLDER, pre-2011 IAS 31 APPROACH, RATHER than CURRENT IFRS.
