Disclosure of Interests in Other Entities
Disclosure of Interests in Other Entities is part of the Chinese Accounting Standards for Business Enterprises (ASBE).
1
Conceptual Framework Linkage
A single, comprehensive disclosure standard spanning all types of interests
ASBE No. 41 CONSOLIDATES disclosure REQUIREMENTS for an ENTERPRISE'S interests in SUBSIDIARIES, JOINT arrangements, ASSOCIATES, and UNCONSOLIDATED structured ENTITIES – HELPING users EVALUATE the NATURE of, and RISKS associated WITH, these INTERESTS, and THEIR effects on the ENTERPRISE'S financial POSITION and PERFORMANCE. THIS Standard is CLOSELY converged with IFRS 12 internationally.
2
Scope – a Single Standard Consolidating Prior Scattered Disclosures
Bringing together previously dispersed disclosure requirements
BEFORE this Standard, disclosure REQUIREMENTS relating to SUBSIDIARIES, JOINT arrangements, and ASSOCIATES were SCATTERED across THEIR respective INDIVIDUAL standards (ASBE No. 33, No. 40, and No. 2). ASBE No. 41 CONSOLIDATES these DISCLOSURE requirements into ONE unified STANDARD – PARALLELING how IFRS 12 CONSOLIDATED the EQUIVALENT disclosure REQUIREMENTS internationally.
3
Significant Judgements in Determining Control, Joint Control, or Significant Influence
Explaining the basis for classification, especially in ambiguous cases
AN enterprise DISCLOSES the SIGNIFICANT judgements and ASSUMPTIONS made in DETERMINING WHETHER it HAS control, JOINT control, or SIGNIFICANT influence OVER another entity – PARTICULARLY where the DETERMINATION is NOT straightforward (e.g. DE FACTO control WITHOUT a majority VOTING interest – see the COMPANION ASBE No. 33 poster).
4
Disclosures About Subsidiaries
Composition of the group and non-controlling interests
AN enterprise DISCLOSES the COMPOSITION of the GROUP, the INTERESTS non-CONTROLLING shareholders HOLD in the GROUP'S activities and CASH flows, and (WHERE material) SUMMARISED financial INFORMATION about EACH subsidiary WITH material NON-CONTROLLING interests.
5
Disclosures About Joint Arrangements and Associates
Nature, extent, and financial effects
AN enterprise DISCLOSES the NATURE, extent, and FINANCIAL effects of ITS interests in JOINT arrangements and ASSOCIATES – INCLUDING summarised FINANCIAL information for EACH material JOINT venture or ASSOCIATE, and the NATURE of RISKS associated WITH these interests.
6
Unconsolidated Structured Entities
Disclosure even where consolidation is not required
AN enterprise DISCLOSES information ABOUT its INVOLVEMENT with STRUCTURED entities it does NOT CONSOLIDATE – INCLUDING the NATURE and EXTENT of its INTERESTS, and its MAXIMUM exposure to LOSS FROM those interests – HELPING readers UNDERSTAND risks that MIGHT not otherwise be APPARENT from the CONSOLIDATED financial statements ALONE.
7
Non-Controlling Interests That Are Material to the Group
Extra transparency where minority shareholders hold a meaningful stake
WHERE a SUBSIDIARY has NON-CONTROLLING interests that are MATERIAL to the GROUP, ADDITIONAL summarised FINANCIAL information is DISCLOSED for THAT subsidiary SPECIFICALLY – ENSURING readers UNDERSTAND the SCALE and NATURE of the MINORITY shareholders' STAKE in the GROUP'S overall PERFORMANCE.
8
Worked Example – Disclosing a Material Non-Controlling Interest
Summarised financial information for a specific subsidiary
Example: A 60%-owned subsidiary representing a significant portion of group profit
A group's 60%-owned subsidiary contributes a material portion of consolidated net profit, with the remaining 40% held by non-controlling shareholders.
The GROUP discloses SUMMARISED financial INFORMATION SPECIFICALLY for THIS subsidiary – REVENUE, profit, TOTAL assets, TOTAL liabilities, and DIVIDENDS paid to NON-CONTROLLING interests – GIVEN the MATERIALITY of the MINORITY stake to the GROUP'S overall results.
9
Worked Example – Disclosing an Unconsolidated Structured Entity's Maximum Exposure to Loss
Quantifying risk from an entity outside the consolidated group
Example: A sponsored securitisation vehicle
A company sponsors (but does not consolidate) a securitisation vehicle, retaining a subordinated interest of RMB 15,000,000 and providing a guarantee capped at RMB 5,000,000.
The company DISCLOSES its MAXIMUM exposure to LOSS from this UNCONSOLIDATED structured ENTITY as RMB 15,000,000 + RMB 5,000,000 = RMB 20,000,000, GIVING readers a CLEAR picture of the RISK involved, DESPITE the entity FALLING outside the CONSOLIDATED group.
