Statement of Shareholder Equity

Governs the presentation of the Statement of Shareholders' Equity, reconciling opening and closing balances of each equity component.

1

Conceptual Framework Linkage

Explaining the "why" behind an equity balance's movement
The Balance Sheet shows equity at a point in time; the Income Statement explains part of WHY it changed (through net income). Neither, alone, gives users a complete picture of every source of equity movement during a period – capital raised, dividends paid, treasury stock transactions, and OCI movements all also change equity. The Statement of Shareholders' Equity closes that gap, reconciling the OPENING and CLOSING balance of every equity component.
2

Scope & Applicability

A required statement for essentially all entities
ASC 215 applies to all entities preparing a complete set of US GAAP financial statements. Public companies are additionally subject to SEC Regulation S-X requirements that reinforce and detail the statement's content – in practice, the statement is functionally REQUIRED for both public and private US GAAP reporters, consistent with IAS 1's own requirement for a Statement of Changes in Equity as a mandatory primary statement.
3

What the Statement Must Show

A reconciliation, by component, from opening to closing balance
Beginning and ending balance of EACH caption within equity (e.g. common stock, additional paid-in capital, retained earnings, treasury stock, accumulated OCI)Net income (or loss) for the periodDividends declared, by class of stockIssuances, repurchases (treasury stock), and retirements of stock during the periodOther comprehensive income movements affecting accumulated OCIChanges in the NUMBER of shares outstanding for each class of stock, alongside the dollar reconciliation
4

Relationship with ASC 505 (Equity)

Presentation Topic vs recognition/measurement Topic
ASC 215 governs HOW equity movements are PRESENTED in the statement; it does not itself govern the recognition or measurement of the underlying equity transactions – stock dividends and splits, treasury stock, and equity-based payments to non-employees are all substantively addressed by ASC 505 (Equity) instead. This division of labour – a narrow "presentation" Topic paired with a broader "recognition and measurement" Topic – is a recurring structural pattern across the Codification's Presentation area.
5

Alternative Presentation Formats

Columnar statement, or note-based reconciliation
Most entities present a COLUMNAR statement, with a separate column for each equity component (common stock, APIC, retained earnings, treasury stock, accumulated OCI, total) and a row for each type of transaction. Alternatively, some entities disclose the SAME reconciliation information within the NOTES rather than as a full separate primary statement – a flexibility broadly mirroring how IAS 1 similarly allows dividend-related disclosures to sit either on the face of the statement or in the notes.
6

Worked Example – Building the Reconciliation

A simplified single-period equity roll-forward
Example: Reconciling retained earnings for the year
At the start of the year, retained earnings is $40,000,000. During the year, the entity reports net income of $8,500,000 and declares cash dividends of $2,000,000.
Retained earnings roll-forward: Opening $40,000,000 + Net income $8,500,000 − Dividends declared $2,000,000 = Closing $46,500,000. This same roll-forward logic is applied to EVERY OTHER equity component (common stock, APIC, treasury stock, accumulated OCI) side by side in the full statement, with a total column reconciling opening to closing TOTAL shareholders' equity.
7

Disclosure Requirements

What ASC 215 requires
A reconciliation of each equity caption's beginning and ending balance, presented either as a primary statement or in the notesChanges in the number of shares outstanding for each class of stockDividends per share, in addition to total dividends declared
8

Critical Judgments & Estimates

Where judgement matters most
ASC 215 itself is largely mechanical once the underlying equity transactions have been measured under ASC 505 and related Topics – the main judgement lies in choosing between the columnar STATEMENT format and NOTE-based disclosure, and in appropriately DISAGGREGATING equity captions to give users a genuinely informative reconciliation rather than an over-compressed summary.

ASC 215 vs IAS 1 Statement of Changes in Equity

Comparison – ASC 215 vs IAS 1's Statement of Changes in Equity
FeatureUS GAAP (ASC 215)IFRS (IAS 1)
Statement nameStatement of Shareholders' (or Stockholders') EquityStatement of Changes in Equity
Mandatory primary statement?Effectively yes, in practice, though a note-based alternative exists in narrow casesYes – explicitly listed among IAS 1's required primary statements, no note-based alternative
ContentReconciliation of each equity caption + share count changesSubstantively the same – reconciliation of each equity component, including OCI, plus disclosure of dividends
Format and content are highly converged between the two frameworks – this is one of the more closely aligned presentation Topics in the entire Codification relative to its IFRS counterpart.
